Terms of Service

1. Acceptance of Terms

By accessing or using Tidyflow (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

The Service is intended for business use only.


2. Description of Service

Tidyflow provides cloud-based practice management software for accounting and professional service firms.

We may update or modify the Service from time to time to improve functionality, security, or performance.


3. Account Registration

To use the Service, you must create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your login credentials
  • Be responsible for all activity under your account

If you create an account on behalf of a firm or organization, you represent that you have authority to bind that entity to these Terms.


4. Subscription, Billing, and Payment

Tidyflow is offered on a subscription basis.

  • Fees are billed in advance according to your selected plan
  • Subscriptions renew automatically unless cancelled
  • Payments are processed securely through Stripe
  • We do not store full payment card details

All fees are non-refundable unless otherwise agreed in writing.
You may contact support to request a refund review; however, refunds are granted at our sole discretion.

We reserve the right to suspend or terminate accounts for non-payment.


5. Customer Data and Ownership

You retain ownership of all data uploaded or submitted to the Service (“Customer Data”).

Tidyflow processes Customer Data solely to provide and maintain the Service.

Upon termination of your account, you may request access to export your Customer Data within a reasonable period, subject to our data retention policies.


6. Data Processing

If Tidyflow processes Personal Data on your behalf, the Data Processing Addendum applies and is incorporated into these Terms by reference.


6A. AI Features

Tidyflow may offer artificial intelligence features within the Service (“AI Features”). Your use of AI Features is governed by the AI Terms of Use, which supplement and form part of these Terms. AI Features are optional and require affirmative opt-in by an account owner or administrator. The AI Terms of Use address data handling, accuracy limitations, intellectual property, and your responsibilities when using AI Features.


6B. Email Integration

Tidyflow offers email integration features that allow you to connect third-party email accounts (such as Gmail or Microsoft Outlook/Microsoft 365) to the Service (“Email Integration”).

Authorisation and Access

To use Email Integration, you must authorise Tidyflow to access your email account via OAuth 2.0. By connecting an email account, you represent that you have the authority to grant Tidyflow access to that account and that doing so does not violate any agreement between you and your email provider.

Tidyflow uses the authorised connection to sync, display, compose, send, and manage emails on your behalf within the Service. Tidyflow does not store your email account passwords.

Your Responsibilities

You are responsible for:

  • Ensuring you have the authority to connect any email account to the Service
  • Complying with the terms of service and acceptable use policies of your email provider
  • Managing the content of emails you draft, send, or reply to through the Service
  • Informing relevant parties (such as your clients) that email communications may be managed through Tidyflow, to the extent required by applicable law

Disconnection

You may disconnect a linked email account at any time through your Tidyflow account settings or through your email provider’s security or app permissions settings. Disconnection will stop further syncing from that account. Previously synced email data will be deleted in accordance with our Privacy Policy.

Third-Party Provider Terms

Email Integration relies on services provided by Google and Microsoft. Your use of Email Integration is subject to the applicable terms and policies of those providers, including the Google API Services User Data Policy (including the Limited Use requirements) and the Microsoft APIs Terms of Use. Tidyflow is not responsible for the availability, performance, or policies of third-party email providers.

AI Features and Email Data

If you have enabled both Email Integration and AI Features, email data from connected mailboxes may be processed through AI Features (such as email summarisation or draft generation). This processing is subject to the AI Terms of Use and occurs only with your consent. You may disable AI Features independently of Email Integration at any time.


7. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Upload malicious code or harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer or attempt to extract source code
  • Interfere with the security or integrity of the Service

We may suspend or terminate access for violations of this section.


8. Confidentiality

Each party agrees to treat non-public information disclosed by the other party as confidential and to use such information solely for purposes of performing under these Terms.


9. Termination

You may cancel your subscription at any time through your account settings or by contacting support.

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Required by law
  • Necessary to protect the security or integrity of the Service

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Tidyflow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted or error-free.


11. Limitation of Liability

To the maximum extent permitted by law:

Tidyflow’s total aggregate liability arising out of or related to the Service shall not exceed the total amount paid by you to Tidyflow in the twelve (12) months preceding the event giving rise to the claim.

Tidyflow shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

Some jurisdictions do not allow certain limitations of liability. In such cases, limitations apply to the maximum extent permitted by law.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the courts located in Wyoming.


13. Changes to Terms

We may update these Terms from time to time.

Updated Terms will be posted on this page. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
